Dual Force Plates – Pre-Order Terms & Conditions

These Pre-Order Terms & Conditions (“Pre-Order Terms”) apply specifically to the purchase of the Swing Catalyst Dual Force Plates bundle (“Product”) and supplement Swing Catalyst’s general Sales and Refund Terms. In the event of any conflict, these Pre-Order Terms shall prevail for the Product.

By placing a pre-order, you confirm that you have read, understood, and accepted these Pre-Order Terms.

1. Product Description

The Dual Force Plates bundle includes:

• Two (2) Swing Catalyst Dual Force Plates

• Two (2) Fox USB Cameras

• A Three (3) year Swing Catalyst software license
  
  

The Product is sold as a single bundle. Components cannot be separated, exchanged, or refunded individually.

The Product is intended for professional and commercial use.

2. Territory & Eligibility

The Product is available exclusively to customers located in:

• United States of America

• European Union (EU)

• European Economic Area (EEA)

• United Kingdom (UK)
  
  

Orders placed from outside these territories will not be accepted or processed. Swing Catalyst reserves the right to cancel any order that circumvents these territorial restrictions.

3. Pre-Order & Payment Structure

The total purchase price of the Product is USD $13,995, excluding shipping, VAT, sales tax, customs duties, and any other applicable local taxes or charges.

Payment terms:

• A 50% deposit of the total purchase price is required at the time of pre-order.

• The remaining 50% balance, together with shipping costs and any applicable taxes or duties, must be paid prior to shipment.

• Shipment will not occur until full payment has been received.
  
  

Failure to pay the remaining balance when requested may result in cancellation of the order. In such a case, the deposit shall remain non-refundable to the maximum extent permitted by applicable law.

4. Deposit – Non-Refundable Nature

The 50% pre-order deposit is non-refundable to the maximum extent permitted by applicable law.

The deposit represents immediate and irreversible costs incurred by Swing Catalyst, including, but not limited to, hardware production, component allocation, and supply chain commitments.

In the event Swing Catalyst is unable to fulfill the order due to reasons solely attributable to Swing Catalyst, applicable mandatory consumer protection laws shall apply.

5. Pricing, Taxes & Duties

The Product price does not include:

• Shipping and handling

• VAT / sales tax

• Customs duties

• Import fees or other local taxes
  
  

All such costs are the sole responsibility of the customer and must be paid prior to shipment or upon import, as applicable. Swing Catalyst bears no responsibility for delays, costs, or losses arising from customs clearance or local taxation.

6. Delivery & Estimated Timeline

The Product is sold on a pre-order basis. Any delivery dates provided are estimates only and not guaranteed.

Swing Catalyst shall not be liable for delays caused by circumstances including, but not limited to:

• Manufacturing or supply chain constraints

• Component availability

• Shipping carrier delays

• Customs or regulatory processes

• Force majeure events
  
  

Delivery delays do not entitle the customer to cancel the order or receive a refund of the deposit.

7. Transfer of Risk

Risk of loss or damage passes to the customer upon delivery in accordance with Swing Catalyst’s general Delivery Terms. Customers are responsible for inspecting the Product upon receipt.

8. Withdrawal Rights & Consumer Acknowledgement (EU/UK)

For customers located in the EU, EEA, or UK:

In accordance with Article 16 of the EU Consumer Rights Directive and equivalent UK legislation, the right of withdrawal does not apply where:

• production and allocation of hardware components have commenced, and

• such production and allocation have been initiated with the customer’s explicit consent.
  
  

By placing a pre-order and paying the deposit, you expressly consent to the immediate commencement of production and allocation of components and acknowledge that this limits or removes the statutory right of withdrawal to the extent permitted by applicable law.

9. Software License

The included three-year software license is subject to Swing Catalyst’s standard Software License Terms. The license period commences upon activation.

10. Cancellation by Swing Catalyst

Swing Catalyst reserves the right to cancel a pre-order in cases including, but not limited to:

• suspected fraud or payment failure

• regulatory or compliance issues

• circumstances beyond Swing Catalyst’s reasonable control.
  
  

In such cases, payments received shall be refunded in accordance with applicable law. The non-refundable nature of the deposit shall apply to the maximum extent permitted by law.

11. Limitation of Liability

To the maximum extent permitted by law, Swing Catalyst shall not be liable for indirect, incidental, special, or consequential damages arising from the pre-order, delivery delay, or use of the Product.

12. Governing Law & Jurisdiction

These Pre-Order Terms shall be governed by and construed in accordance with the governing law specified in Swing Catalyst’s general Terms & Conditions. Mandatory consumer protection laws applicable in the customer’s jurisdiction shall not be excluded.

Acknowledgement

By placing a pre-order and paying the deposit, you acknowledge and agree that:

• the 50% deposit is non-refundable to the maximum extent permitted by law

• production and allocation commence immediately upon order

• delivery timelines are estimates only

• full payment is required prior to shipment
